This is a good-faith template. Have qualified counsel review before launch — especially if you operate in a regulated jurisdiction or handle data covered by FERPA, GDPR, or similar regimes.

1. Acceptance of terms

By creating an account or using Gradency ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Eligibility & account

You must be authorized to grade student work at your institution to use the Service. You are responsible for keeping your account credentials confidential and for all activity under your account. Account creation may require email verification and acceptance of these terms.

3. Acceptable use

You agree not to:

  • Upload exam content without proper authorization from the relevant institution and students.
  • Use the Service to violate any applicable law, regulation, or institutional policy (including FERPA, GDPR, or local educational data protection rules).
  • Attempt to reverse-engineer, decompile, or otherwise extract source code from the Service except where permitted by law.
  • Probe, scan, or test the vulnerability of the Service without prior written permission.
  • Submit malware, malicious files, or content that infringes on third-party rights.

4. Your content

You retain all rights to the content you upload (answer keys, student exams, rubrics, feedback). You grant Gradency a limited, non-exclusive license to process this content solely to provide the Service to you. We do not use your content to train AI models. See the Data Use page for what is sent to third-party AI providers and how.

5. AI-generated outputs

Gradency uses automated systems to produce grading suggestions and feedback. Automated outputs may contain errors. You are responsible for reviewing AI-generated grades before issuing them to students. Gradency makes no warranty that AI-generated outputs are accurate, complete, or appropriate.

6. Service availability

The Service is provided "as is" and "as available". We do not guarantee uninterrupted access, and may modify or discontinue features at any time with reasonable notice.

7. Limitation of liability

To the maximum extent permitted by law, Gradency and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost data, lost profits, or grading errors. Aggregate liability for any claim arising from your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim (or USD $100 if you have not paid us anything).

8. Indemnification

You agree to indemnify and hold Gradency harmless from any claims arising from your violation of these Terms, your use of the Service, or your upload of content you were not authorized to upload.

9. Termination

You may close your account at any time via the Settings page. We may suspend or terminate accounts that violate these Terms, with written notice where reasonable. Upon termination, your data will be deleted within 30 days, except where retention is required by law.

10. Changes to terms

We may update these Terms. Material changes will be communicated by email or via in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
